Terms of Service
Paracon Consultants Corp. (“Paracon”, “we”, “us”, or “our”) provides this website located at paracon.ca (the “Site”) and related online services, including any client portal functionality (together, the “Services”). These Terms of Use (“Terms”) govern your access to and use of the Services.

1) Acceptance of these Terms
Agreement
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows when changes were made. Your continued use of the Services after changes means you accept the updated Terms.

3) Eligibility and permitted use
Eligibility
You must be able to form a legally binding contract to use the Services. If you use the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.
Permitted use
You may use the Services only for lawful purposes and in accordance with these Terms.
4) Client portal accounts
Account information
If you create or use a client portal account, you agree to provide accurate information and keep it current (such as name, email, and phone number).
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@paracon.ca if you believe your account has been compromised.
Portal access and availability
We may modify, suspend, or discontinue the client portal (in whole or in part) at any time, including for maintenance, security, or operational reasons.
5) Invoices and payments (portal use only)
Viewing and paying invoices
The client portal may allow you to view invoices and submit payments. Payment processing may be provided by third-party payment processors.
Payment processing availability
We do not guarantee uninterrupted or error-free payment processing services, and we are not responsible for outages or errors caused by third parties.

Client service terms are separate
The commercial terms of your services (scope, deliverables, acceptance, project timelines, payment terms, IP ownership, confidentiality, etc.) are governed by your signed agreement with Paracon (e.g., SOW/MSA/NDA) and not by these website Terms unless expressly stated in writing.
6) Intellectual property
Ownership
The Services and Site content, including text, graphics, logos, designs, software, templates, and other materials (the “Content”), are owned by Paracon or its licensors and are protected by intellectual property laws.
Limited license
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, solely as permitted by these Terms.
Restrictions
You may not copy, reproduce, distribute, publicly display, create derivative works from, reverse engineer, decompile, or otherwise exploit any part of the Services or Content except as expressly permitted by law or with our written permission.
7) User submissions, inquiries, comments, and feedback
Submissions
If you submit information through the Site or Services (e.g., inquiry forms, messages, uploads), you represent that you have the right to submit it and that it does not violate any law or third-party rights.
Comments and content moderation
We may (but have no obligation to) monitor, review, edit, or remove content that we determine, in our sole discretion, is unlawful, offensive, threatening, defamatory, obscene, harmful, or otherwise objectionable, or that violates these Terms.
No obligation to keep submissions confidential
Except as described in our Privacy Policy or in a separate written agreement (such as an NDA), any non-confidential feedback, suggestions, or ideas you submit may be used by us without restriction or compensation.
Responsibility for what you submit
You are solely responsible for your submissions and their accuracy. Your submissions must not contain malware, viruses, or any code that could affect the operation of the Services or related systems.
8) Accuracy of information and changes to the Services
Informational content
Information on the Site is provided for general informational purposes. We do not warrant that any information is accurate, complete, current, or error-free. Any reliance on the Site content is at your own risk.
Changes and updates
We may update Site content, correct errors or omissions, or change the Services (including features and availability) at any time without notice.
9) Optional tools, third-party services, and links
Optional tools
We may provide access to third-party tools or services that we do not monitor or control. These tools are provided “as is” and “as available,” without warranties, representations, or conditions of any kind. Your use of third-party tools is at your own risk.

The Services may include links to third-party websites or services. We are not responsible for the content, security, availability, or practices of any third-party sites.
Third-party terms
Your use of third-party services is governed by their own terms and policies.

impersonate any person/entity or misrepresent affiliation
collect personal information from the Services without authorization

11) Disclaimers
“As is” / “as available”
The Services and Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability.
No professional advice
Information on the Site is not legal, financial, or professional advice. You should obtain appropriate advice for your situation.
12) Limitation of liability
No indirect damages
To the maximum extent permitted by law, Paracon will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) the Services.
Maximum liability
To the maximum extent permitted by law, Paracon’s total liability for claims arising out of or related to the Services will not exceed the amount you paid to Paracon (if any) for use of the Site/Services in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13) Indemnification
Your responsibility
You agree to defend, indemnify, and hold harmless Paracon and its directors, officers, employees, and contractors from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:
your use of the Services
your violation of these Terms
your violation of any law or third-party rights
your submissions or content
14) Termination
Suspension or termination
We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, pose a security risk, or misuse the Services.
Survival
Sections that by their nature should survive termination will survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous).
15) Privacy
Privacy Policy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal information.
16) Accessibility
Our commitment
We aim to make the Site reasonably accessible to as many users as possible and to improve accessibility over time.

If you encounter accessibility barriers or need content in an alternative format, contact info@paracon.ca and we will make reasonable efforts to assist.
17) Governing law
Ontario and Canada
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
18) Miscellaneous
Severability
If any part of these Terms is found unenforceable, the remaining parts will remain in effect.
No waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
Entire agreement (for website use)
These Terms, together with the Privacy Policy, form the entire agreement between you and Paracon regarding your use of the Services, except where a separate written agreement exists for client services.
